We are recruiting to fill the position below:

Job Title: Legal Analyst / Company Secretary (Investment Banking)

Location: Lekki Phase 1, Lagos

Employment Type: Full-time (On -site)

Reports To: GCEO

Role Summary
The Legal Analyst & Company Secretary will be responsible for overseeing all legal and corporate governance matters of the firm.
This includes drafting and reviewing legal documents, ensuring regulatory compliance, managing shareholder relations, and acting as the primary liaison with regulators.
The ideal candidate will possess strong legal acumen, excellent communication skills, and the ability to lead a team effectively.
Key Responsibilities
Legal Advisory & Compliance:

Provide sound legal advice to the management and key stakeholders on investment banking transactions, regulatory requirements, and corporate laws.
Draft, review, and negotiate contracts, agreements, and other legal documents related to investment banking activities.
Ensure compliance with all relevant laws, regulations, and policies, including SEC, FMDQ, and NSE guidelines.
Manage litigation, arbitration, and dispute resolution processes in collaboration with external counsel.
Corporate Governance:

Act as the Company Secretary to the Board, ensuring proper documentation, meeting scheduling, and record-keeping.
Draft board resolutions, meeting agendas, and minutes, and ensure timely filings with regulatory authorities.
Monitor compliance with corporate governance codes and practices.
Support the Board and management in implementing governance frameworks to enhance transparency and accountability.
Regulatory Liaison:

Serve as the key contact for regulatory bodies, including the SEC, FMDQ, and other industry regulators.
Ensure timely and accurate filings of statutory documents, returns, and reports.
Monitor changes in legislation and provide updates to the firm on potential impacts.

Risk Management:
Identify, assess, and mitigate legal and regulatory risks affecting the firm..
Maintain and update the firm’s risk management policies and frameworks.
Key Qualifications and Requirements

Education: Bachelor’s degree in Law (LLB) and must have gone through Law School.
A Master’s degree in Law or related fields is an advantage.
Experience: Minimum of 3 years of post-qualification experience in legal practice, with a focus on corporate law, investment banking, or financial services.
Certifications: being a qualified Company Secretary and a member of the Institute of Chartered Secretaries and Administrators (ICSA) or its equivalent is an advantage
Skills:

Strong understanding of corporate governance and investment banking regulations.
Exceptional contract negotiation and drafting skills.
Leadership and team management abilities.
Excellent analytical, communication, and problem-solving skills.
Proficiency in MS Office and legal research tools.
